Licence Agreement
What you can do with a Mokadev extension or theme, in plain words. This agreement supplements the terms of sale.
In short
Allowed
- Use the product on one production domain, on staging and in development
- Read and modify the source code to adapt it to your store
- Install it on behalf of your client (agencies)
- Keep using it after the end of the update period
Not allowed
- Resell, redistribute or sub-license the product, modified or not
- Publish the code in a public repository or on a marketplace
- Use it on a second production domain without a second licence
- Share your Composer access keys with third parties
1. Definitions
- Product: the extension or theme for Magento 2 and Hyvä acquired by the Customer, including its source code, translation files, documentation and updates.
- Licence: the right of use acquired for each unit ordered, shown in the customer account under "My licences".
- Production domain: the main domain name under which a Magento installation is publicly available and makes sales (for example
www.example.com). - Staging and development environments: the non-public installations related to the production domain, used to develop, test or accept the store.
2. Rights granted
For each Licence, Mokadev grants the Customer a non-exclusive, non-transferable and non-assignable right to use the Product, for the duration of copyright protection, within the limits of this agreement. This right includes installing, running, configuring and adapting the Product.
3. One production domain per licence
A Licence covers one production Magento installation available under one production domain, with its store views and languages, and its staging and development environments. Each additional production domain (another store, another brand, another installation) requires an additional Licence.
The Customer can change the domain covered by a Licence (redesign, new domain name) by informing support; the former domain is then no longer covered.
4. Source code
The Product is delivered with its complete, unencrypted source code. The Customer may read, modify and extend it (template overrides, plugins, layout arguments, preferences) to adapt it to the store covered by the Licence. Modifications remain subject to this agreement and may not be distributed.
Support and updates apply to the original code: a direct change to the Product files may be overwritten by an update, and Mokadev cannot guarantee that modified code works. We recommend customising the Product from your theme or your own module.
5. Restrictions
Unless Mokadev agrees in writing, the Customer shall not:
- sell, rent, lend, assign, redistribute or sub-license the Product or any part of its code, free of charge or not, as is or modified;
- publish the Product code in a public repository, a marketplace, or a theme, module or package distributed to third parties;
- use the Product to develop a competing product intended for distribution;
- remove the copyright notices present in the code;
- disclose its Composer repository access keys or the downloaded archives to third parties.
6. Agencies and end clients
An agency, system integrator or freelancer may purchase a Licence on behalf of its client, for the client's production domain. The Licence is then deemed granted to the end client, for its store; the agency may install and maintain the Product for it. When the collaboration ends, the Licence can be moved to the end client's account on request to support.
7. Updates and support
Each Licence includes 12 months of updates and support from payment, renewable under the terms of sale (50% of the price when the last payment is less than a year old, full price otherwise). After this period, the Customer keeps the right to use every version released during its covered period; the Composer repository does not offer the versions released after the end of its period.
8. Term and termination
The Licence is granted without time limit. In the event of a serious breach of this agreement by the Customer (in particular redistribution of the Product or sharing of access keys) not remedied within 15 days of a formal notice by email, Mokadev may terminate the Licence and revoke access to the Composer repository, without refund.
Upon termination, the Customer stops using the Product and removes it from all its environments.
9. Third-party components
Some Products include open source components (for example the Alpine Morph plugin, MIT licence) or fonts under the SIL Open Font License. These components remain subject to their own licence, included with the Product; this agreement does not restrict any of the rights it grants.
The Products require Magento Open Source or Adobe Commerce and a Hyvä theme, which the Customer must hold under their own licences.
10. Warranty and liability
The warranties and limitations of liability that apply are those of the terms of sale. This agreement is governed by French law.
